3. Intellectual Property Rights

3.1 Our Intellectual Property

All content, designs, logos, graphics, code, trademarks, and materials on this website are the intellectual property of Scene Setter unless explicitly stated otherwise. This includes website design, layout, logo, brand identity, code libraries, frameworks, marketing materials, documentation, and processes.

You may NOT WITHOUT prior written consent:

  • Reproduce, copy, or distribute any content
  • Modify or create derivative works
  • Use our trademarks or branding
  • Reverse engineer or decompile any code
  • Claim ownership of our work
  • Use our portfolio images without permission

Violation may result in legal action for damages and injunctive relief.

3.2 Client Deliverables

Upon full payment, clients receive ownership of custom deliverables created specifically for their project including custom-designed websites and applications, client-specific graphics and assets, project documentation, and source files (where applicable).

Conditions for transfer: Full payment has been received, no third-party proprietary code or assets are included, and outstanding invoices are cleared.

3.3 Pre-Existing Materials

Materials created by Scene Setter prior to your project remain our property. Your deliverables may incorporate open-source libraries (MIT, Apache, GPL licenses), our proprietary frameworks and components, templates and design systems, and general knowledge and techniques - all licensed, not sold, under their respective terms.

3.4 Portfolio Rights

Scene Setter may display completed work in our portfolio website, social media profiles, marketing materials, and proposal presentations. Client consent will be obtained before displaying specific project details.


4. User Conduct and Prohibited Uses

4.1 Acceptable Use

When using our website and services, you agree to provide accurate and complete information, maintain the security of your account credentials, use services for lawful purposes only, respect intellectual property rights, follow our guidelines and instructions, respond to communications promptly, and provide necessary cooperation for project work.

4.2 Prohibited Activities

You must NOT violate any applicable laws or regulations (Pakistan or international), infringe on intellectual property rights of Scene Setter or third parties, transmit viruses, malware, or harmful code, attempt to gain unauthorized access to our systems, interfere with the proper functioning of the website, engage in any form of harassment or abuse, collect or store personal data about other users without consent, use automated tools or bots without authorization, submit false or misleading information, create multiple accounts to circumvent restrictions, or share account credentials with others.

4.3 Consequences of Violation

Violation of these terms may result in immediate termination of access to our services, removal of content or materials, withholding of deliverables until issues are resolved, legal action for damages and injunctions, and reporting to law enforcement authorities.


5. Accounts and Registration

5.1 Client Portal Accounts

For client portals and project management access, you may need to create an account. You are responsible for providing accurate registration information, maintaining the confidentiality of your password, all activities that occur under your account, notifying us immediately of unauthorized access, and keeping contact information current.

5.2 Account Security

We implement security measures, but you must also take precautions: use strong, unique passwords (minimum 8 characters), do not share account credentials, enable two-factor authentication where available, log out after each session, and report suspicious activity immediately.


6. Payment Terms

6.1 Pricing and Quotes

Project quotes are valid for 30 days unless specified otherwise. Hourly rates are available for ongoing maintenance. Retainer packages are available for ongoing marketing and support. Additional features may incur additional costs (quoted separately).

6.2 Payment Schedule

Standard payment terms for projects: Small Projects (under $1,000): 100% upfront; Medium Projects ($1,000 - $10,000): 50% upfront, 50% upon completion; Large Projects (over $10,000): 30% upfront, 30% at midpoint, 40% upon completion; Hourly/Retainer: Monthly in advance.

6.3 Payment Methods

We accept Bank Transfer (PKR and USD accounts), PayPal for international clients, Credit/Debit Cards (Visa, Mastercard), EasyPaisa/JazzCash for local Pakistan payments, and Cryptocurrency (Bitcoin, Ethereum for selected projects).

6.4 Late Payments

Late payments may result in project delay or suspension, additional late fees (5% per month or PKR equivalent), withholding of deliverables until payment is received, and recovery through legal means. Payment reminders will be sent at 7 days and 14 days past due date.

6.5 Refunds

Refunds are considered on a case-by-case basis. Work completed before refund request is non-refundable. Platform fees and third-party costs are non-refundable. Client-initiated cancellation: refund calculated for unworked hours. Scene Setter cancellation: full refund for unworked amount.


7. Project Workflow

7.6 Support Phase

  • Post-launch support (varies by project)

8. Revisions and Changes

8.1 Included Revisions

Standard projects include Design revisions (up to 2 rounds included), Development revisions (up to 3 rounds for bug fixes), and Content changes (minor edits during development).

8.2 Change Requests

Additional changes require written request from client, new quote and timeline assessment, client approval before proceeding, and additional payment if scope increases.


9. Warranty and Disclaimers

9.1 Our Warranty

We warrant that services will be performed professionally, deliverables will match approved specifications, we will use reasonable care and skill, team members are qualified for their roles, and work will be completed in agreed timeline.

9.2 Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES EXPRESS OR IMPLIED. We do not guarantee specific results, outcomes, or metrics including specific search engine rankings, specific conversion rates or sales, specific traffic numbers, business success or profitability, uninterrupted service, or fitness for a particular purpose. Any claims about potential results are estimates only and not guarantees.


10. Limitation of Liability

10.1 Limitations

SCENE SETTER SHALL NOT BE LIABLE FOR: Indirect, incidental, or consequential damages; loss of profits, revenue, or business opportunities; loss of data or information (including client-provided content); costs of substitute services from other providers; damages exceeding the fees paid for the affected project; delay damages or lost business due to client feedback delays; and issues arising from client-provided materials or requirements.

10.2 Exceptions

These limitations do not apply to gross negligence or willful misconduct, violation of intellectual property rights, breach of confidentiality obligations, indemnification obligations, and fraud or deliberate misrepresentation.

10.3 Industry Standards

Our liability is limited to the maximum extent permitted by Pakistan law and industry standards.


11. Indemnification

You agree to indemnify and hold Scene Setter harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services in violation of these terms, your content or materials provided to us, your violation of any third-party rights, your business decisions based on our recommendations, and your breach of this agreement.


12. Termination

12.1 Termination by Client

You may terminate services with written notice. Upon termination, payment is due for work completed to date, deliverables completed will be provided, remaining balance may be refundable (case-by-case), and 30-day notice period for ongoing services.

12.2 Termination by Scene Setter

We may terminate services if client violates these terms significantly, payment is significantly overdue (30+ days), cooperation required for project is not provided, client requests changes outside scope repeatedly after warnings, or client provides false or misleading information.
